Początkowym założeniem kryptowalut było umożliwienie bezpośrednich płatności pomiędzy użytkownikami z pominięciem instytucji finansowych. Obecnie się to jednak zmienia – dla wielu kryptowaluty zaczynają mieć charakter inwestycyjny. Trzeba więc zastanowić się, czy istnieją argumenty, które mówią, że wirtualna waluta powinna polegać regulacjom instrumentów finansowych.
Jaki jest aktualny stan prawny?
Według obecnego prawa nie ma wystarczających podstaw, by uznać kryptowaluty za instrument finansowy. Jest tak, ponieważ ich katalog jest zamknięty. Wszystkie instrumenty finansowe są bowiem wymienione w ustawie o obrocie instrumentami finansowymi z dnia 29 lipca 2005r. By nie analizować całej listy tych instrumentów, powiemy tylko, że kryptowaluty nie należą do żadnej z wymienionych w tej ustawie kategorii.
Przez długi czas było również bardzo trudno wyobrazić sobie, by waluty cyfrowe mogły uzyskać taki status w zbliżającym się czasie, nawet za pomocą ustawy. Wynikało to ze stanowiska prawnego, które mówi, że jeśli dane prawo podmiotowe nie było zakwalifikowane do kategorii instrumentów finansowych przez Unię, to nie może mieć takiego charakteru w prawie państw członkowskich.
Możliwa przyszłość kryptowalut
Sytuacja opisana wyżej może się jednak niedługo zmienić. Komisja Spraw Gospodarczych w Parlamencie Europejskim zgłosiła poprawkę do MiFID II, która zakłada wprowadzenie tzw. „walut wirtualnych”, które zostałyby uregulowane jako instrumenty finansowe.
Co za tym idzie, jeśli Unia Europejska wprowadzi wspomnianą poprawkę, to państwa członkowskie, w tym Polska, będą musiały włączyć kryptowaluty do kategorii instrumentów finansowych.
Jakie będą skutki uznania kryptowalut za instrumenty finansowe?
Konsekwencje takich działań mogą być niezwykle istotne. Praktycznie oznaczałoby to, że obrót kryptowalutami podlegałby organom nadzoru, a także sformalizowanemu prawu, które dotyczy obrotu instrumentami finansowymi. To wzmocniłoby ochronę osób, które inwestują w kryptowaluty, ale jednocześnie mogłoby ograniczyć sposoby ich zastosowania. Ponadto, jeśli kryptowaluty zostałyby uznane za instrumenty finansowe to emisja i pośrednictwo w obrocie zostałoby zarezerwowane do podmiotów, które posiadają odpowiednie zgody uzyskane od organów nadzoru. Do czego by to doprowadziło? Obrót kryptowalut mogoły być bardziej profesjonalny, ale mniej intensywny. Ucierpiałby też rozwój kryptowalut, który oparty jest na praktyce i doświadczeniu inwestujących osób.
Kwalifikacja danych dóbr zawsze powinna być determinowana potrzebami gospodarki. Warto tutaj zaznaczyć, że kryptowaluty stosują blokchain. Co za tym idzie, jeśli obrót nimi musiałby spełniać rygorystyczne wymogi prawa, to mogłyby wystąpić problemy z implementacją tej technologii. Nie można też zapominać o osobach, które wykorzystują kryptowaluty do opłacania różnych rzeczy. To sprawia, że wiele osób nie popiera propozycji, by uznać kryptowaluty za instrumenty finansowe. O ile sama idea uregulowania ich statusu prawnego jest bardzo dobrą inicjatywą, to jednak jakiekolwiek regulacje dotyczące wirtualnych walut powinny brać pod uwagę ich specyfikę. Ta bowiem nie może być w prosty sposób przypisana do obecnie istniejących rozwiązań prawnych.
